Terms of Service

Please read these Terms of Service carefully, as they govern: (i) your access to and use of our websites ("Sites"), (ii) your access to and use of our applications ("Applications"), and (iii) your use of the services that link to or reference these Terms (collectively referred to as the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms, whether you become a registered user. Certain areas or features of the Platform may require you to agree to additional terms and conditions, which shall take precedence if they conflict with these Terms.

If you are entering into these Terms on behalf of a company or legal entity (the "Company"), you affirm that you have authority to bind such Company, its users, and affiliates. In that case, "you" or "your" refers to the Company. If you do not have such authority, or do not agree to these Terms, do not use the Platform. If you are entering these Terms as an individual, the agreement is between you and Yan Soares da Silva (CNPJ: 60.810.617/0001-02), hereinafter "Yan".

By using the Platform, you also agree to our Privacy Policy, available at https://www.soarlanguages.com/terms-of-service . We may disclose user information if required by law or to protect our rights or those of others, in accordance with the Privacy Policy.

Do not use the Platform if you are unwilling or unable to be bound by these Terms.

1. Object

The object of this agreement is the provision of online educational services in foreign language instruction.

2. Services

The services will be provided by Yan Soares da Silva, who is solely responsible for the didactic and pedagogical content used in the lessons.

2.1 Class Scheduling and Changes

(a) In the event of a scheduling conflict, the student must notify Yan via email, message, or the Platform at least 24 hours in advance to request a rescheduling.
(b) For group classes, rescheduling is only allowed if all members agree. The replacement class must respect the availability of all parties.
(c) Failure to notify within 24 hours will result in the class being considered completed, with no replacement.
(d) If timely notice is given, Yan may reschedule, depending on availability within the contract period.

2.2 Online-Only Modality

All services provided under this agreement are exclusively online. There are no in-person classes or physical meetings. Both the student and the instructor may be located anywhere in the world, and the provision of services is not restricted by geographic location.

3. Termination by You

You may terminate these Terms at any time by closing your Account, discontinuing your use of the Platform. You have the right to cancel your Account at any time.

3.2 Termination by Us

We may suspend, cancel or terminate your Account, suspend your ability to use certain portions of the Platform, freeze or confiscate your Credits and/or ban you altogether from the Platform for justified business or compliance reasons, and without notice or liability of any kind. Reasons for such suspension, cancellation, or termination may include, but are not limited to, if we believe in good faith that (a) you, a related person, or your Employee (to the extent you are a Company) has engaged in any of the restricted conduct or otherwise violated or may have violated these Terms and/or any Policies, or (b) your Account and use of the Platform have been inactive for more than twelve (12) months. To the extent that you violate these Terms, and we revoke the licences granted to you, you will lose all benefits and privileges associated with the Platform. We are under no obligation to compensate you for any such losses.

We reserve the right to stop making available anyone or more of the Platform, at any time, whether on a temporary or permanent basis and without any liability, compensation, refunds or other compensatory benefits to you. Your licence to the Platform automatically ends when we terminate access to such Platform. Any such action could prevent you from accessing your Account, the Platform, any Content, or any other related information.

4. Entire Agreement

Except as they may be supplemented by additional policies, guidelines, standards, or terms for a specific product, feature, service or offering, these Terms together with the Policies constitute the entire and exclusive understanding and agreement between Yan and you, pertaining to the subject hereof, and supersede any and all prior oral or written understandings or agreements between Yan and you in relation to your access to and use of the Platform.

​5. Review

By sending us any ideas, suggestions, documents, or proposals (“Review”), you agree that (i) your Review does not contain confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the Review, (iii) we may have something similar to the Review already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide licence to use, modify, prepare derivative works of, publish, distribute and sublicense the Review and you irrevocably waive, and cause to be waived, against and other Members any claims and assertions of any moral rights that you may have with respect to such review.

6. Governing Law and Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of the Federative Republic of Brazil. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Curitiba, Paraná, Brazil.

7. Payment Terms  

All fees for services provided through the Platform are due as agreed upon at the time of purchase or booking. Payments must be made in the currency and method specified. No refunds shall be granted once the service has been delivered. In case of delayed payment, Yan reserves the right to suspend services until the outstanding amount is settled.
